Welcome to Filmopixel! These terms and conditions outline the rules and regulations for the use of Filmopixel Film Production House's services.

1. Acceptance of Terms

By accessing our website and/or using our services, you agree to comply with and be bound by the following terms and conditions. If you do not agree with any part of these terms, you must not use our services.

2. Services Offered

Filmopixel offers a wide range of professional film production services, tailored to meet the needs of various projects, including but not limited to the following:

  • Film Development and Production: From conceptualization to final execution, Filmopixel takes pride in offering end-to-end film production services. Our team works closely with clients to develop ideas, write scripts, and plan every aspect of production. We handle everything from casting, location scouting, equipment setup, to directing and filming. Our goal is to bring your vision to life on screen with the highest quality standards.
  • Pre-production Planning: We provide comprehensive pre-production services, including scriptwriting, storyboard creation, casting, location scouting, and organizing the production schedule. Our team ensures all aspects are prepared before filming, ensuring smooth execution throughout the process.
  • Post-production Services: Filmopixel offers high-quality post-production services that include video editing, sound design, color grading, visual effects, and motion graphics. We work closely with our clients to polish the final product and deliver exceptional results. Our skilled editors and post-production team bring creativity and precision to every project, ensuring your film stands out.
  • Commercial and Promotional Video Creation: Whether you need promotional videos for your brand, business, or product, or commercial advertisements for TV or digital platforms, Filmopixel specializes in creating compelling and visually captivating videos that capture the attention of your target audience. We craft messages that resonate with viewers while maintaining brand integrity and style.
  • Event Coverage and Documentation: Filmopixel is experienced in documenting events, conferences, product launches, corporate gatherings, , and other special occasions. We provide professional video coverage to capture every moment, ensuring that each event is preserved in stunning visuals and sound. Our team also offers live event streaming services for audiences who cannot attend in person.
  • Corporate Video Production: We create high-quality corporate videos that effectively communicate your house’s message, mission, and vision. Whether it's an internal training video, a promotional house profile, or a product demo, our team ensures the video aligns with your corporate identity and helps achieve your business goals.
  • Documentary Film Production: Filmopixel has experience in producing documentaries that tell powerful stories. We assist in research, development, filming, and editing to craft documentaries that educate, entertain, and inspire. Whether covering a social issue, historical event, or cultural phenomenon, we approach each project with sensitivity and a commitment to storytelling.
  • Music Videos: We offer creative and artistic music video production services for musicians and bands. From conceptualization to filming, editing, and final delivery, we create visually stunning music videos that align with the artist’s vision and enhance the music's impact.

  • Drone Filming and Aerial Photography: For breathtaking aerial shots, Filmopixel offers professional drone filming services. Whether for scenic shots, property tours, or action sequences, our experienced drone operators capture stunning visuals from angles that were once impossible to achieve.

3. Intellectual Property

All content created, produced, or developed by Filmopixel, including films, videos, scripts, audio recordings, designs, photographs, and any other creative materials (referred to as "Content"), are the exclusive intellectual property of Filmopixel, unless otherwise specified in a written agreement. This includes both the raw footage and the final product produced for clients and collaborators.

By engaging with Filmopixel's services, clients acknowledge and agree that Filmopixel retains full ownership and all associated intellectual property rights to all materials created during the production process, unless explicitly stated otherwise in a contract or license agreement.

Any use of the Content created by Filmopixel outside the scope of the agreed-upon purpose, including but not limited to commercial use, public distribution, reproduction, or modification, is strictly prohibited without prior written consent from Filmopixel. Unauthorized use, copying, reproduction, or distribution of the Content will be subject to legal action, including but not limited to claims for damages, injunctive relief, and any other remedies available under intellectual property laws.

If the Content is licensed for use by clients or collaborators, the terms of such licenses will be clearly outlined in a separate agreement, including the scope, duration, and geographic limits of the license. Any sublicensing or transfer of these rights is prohibited unless otherwise agreed upon in writing by Filmopixel.

Clients agree not to remove, alter, or obscure any copyright notices, trademarks, or other proprietary notices placed on the Content by Filmopixel. These notices are provided to protect the intellectual property rights of Filmopixel and its collaborators.

Filmopixel also retains the right to use any Content for promotional purposes, including portfolio displays, marketing materials, and online platforms. Clients will be informed in advance if any Content will be used for these purposes, and Filmopixel will ensure the appropriate credits are given unless otherwise requested by the client.

Filmopixel respects the intellectual property rights of third parties and will not intentionally infringe upon any such rights. In the event that any third-party intellectual property is included in the Content, Filmopixel will secure the necessary permissions and licenses for its use. However, Filmopixel will not be held responsible for any infringement claims resulting from a client’s unauthorized use of third-party materials provided by the client for inclusion in the final product.

All rights not expressly granted to the client in a contract or license agreement are reserved by Filmopixel.

4. Payment Terms

All services rendered by Filmopixel require a written agreement specifying the cost, payment terms, and deliverables. Payment must be made as per the agreed schedule. The following details apply to all payment-related matters:

4.1 Payment Structure

The payment for services will be structured as follows:

  • Initial Deposit: A non-refundable deposit of 25% of the total project cost is required to initiate the project. This deposit secures the booking of Filmopixel's services and covers preliminary work, including conceptualization and planning.
  • Progress Payments: Based on the project timeline, progress payments may be required at specific milestones. These payments will be outlined in the agreement.
  • Final Payment: The remaining balance is due upon project completion, before delivery of the final product, unless otherwise specified. All final payments must be received before the final deliverables are provided.

4.2 Payment Methods

Payments can be made through the following methods, unless otherwise agreed upon:

  • Bank Transfer (Details will be provided upon request)
  • Cheque
  • Online Payment via [Payment Gateway]

Any transaction fees associated with the payment method will be borne by the client.

4.3 Late Payments

Payments must be made according to the agreed payment schedule. If a payment is not made by the specified due date, the following provisions will apply:

  • A late fee of 1% per day will be charged on overdue amounts.
  • Filmopixel reserves the right to suspend or halt services if payments are not received within 15 days of the due date.
  • If the balance remains unpaid for more than 90 days, Filmopixel may take legal action to recover the due amount, and the client will be responsible for any additional costs, including legal fees.

4.4 Refunds and Adjustments

All payments are non-refundable once the work has commenced unless otherwise stated in the contract. If the client requests modifications that alter the scope of the project, additional charges may apply. Filmopixel reserves the right to adjust the total cost if the client’s requirements change during the course of the project.

4.5 Currency and Taxes

All payments are to be made in Indian Rupees (INR) unless otherwise agreed. The client is responsible for any applicable taxes, including but not limited to Goods and Services Tax (GST), that apply to the services provided by Filmopixel. Any tax-related adjustments will be made according to Indian tax laws.

4.6 Invoicing

Upon receipt of each payment, Filmopixel will issue an invoice detailing the services rendered, the amount paid, and the outstanding balance (if any). The invoice will be sent to the client’s registered email address. It is the client’s responsibility to notify Filmopixel of any discrepancies within 7 days of receiving the invoice.

4.7 Non-payment and Termination

If the client fails to make payments according to the agreed schedule, Filmopixel reserves the right to suspend or terminate the project without further notice. In such cases, the client will still be liable for the full payment of services rendered up to the point of termination. Filmopixel also reserves the right to withhold any completed work until all outstanding balances are paid in full.

4.8 Payment Disputes

In case of any dispute regarding payment or invoices, the client is required to notify Filmopixel in writing within 7 days of receiving the invoice. Both parties will work together in good faith to resolve the dispute. If the dispute remains unresolved, Filmopixel may take appropriate legal action to recover the payment due.

5. Cancellation Policy

In the event of project cancellation by the client, the following terms apply:

We understand that situations may arise where the client may need to cancel a project. However, to ensure fairness to both parties, the following cancellation policy is in place:

  • Cancellations made within 7 days of project initiation: The client will be eligible for a 50% refund of the initial deposit paid. The refund will be processed within 14 business days of receiving the cancellation notice, minus any costs incurred by Filmopixel up to that point. Any incurred expenses, including but not limited to pre-production costs, location fees, or any third-party services, will be deducted from the refund amount.
  • Cancellations after 7 days of project initiation: No refunds will be provided. Once the project has progressed beyond 7 days, the initial deposit becomes non-refundable due to the commitment of resources, staff, and time invested in the project.
  • Cancellations made during production: If the project is in the production phase and the client decides to cancel, they will be liable for the full project fee. Filmopixel will retain all payments made to date and may seek additional payment if expenses already incurred exceed the amount paid. A detailed breakdown of expenses will be provided in such cases.
  • Cancellation due to force majeure: In the event that the cancellation is caused by circumstances beyond the control of both parties, such as natural disasters, strikes, or unforeseen legal actions, Filmopixel will work with the client to reschedule or modify the project terms. Refunds in such cases will be reviewed based on the specific situation and any applicable costs already incurred.
  • Notice of Cancellation: The client must provide written notice of cancellation via email or registered mail. The cancellation notice will only be considered valid once it is confirmed by Filmopixel in writing. Any verbal cancellations will not be accepted or acted upon.

Filmopixel reserves the right to cancel a project at any time for reasons including but not limited to non-payment, breach of contract, or failure to cooperate with agreed timelines. In such cases, Filmopixel will notify the client immediately and will provide a pro-rata refund for any unearned fees, minus any costs already incurred.

6. Limitation of Liability

Filmopixel will not be held liable for any damages, losses, or expenses arising out of or in connection with the use of our services, including but not limited to delays, technical issues, loss of data, or unforeseen circumstances beyond our reasonable control. This includes, without limitation, delays due to technical difficulties, client non-cooperation, force majeure events, third-party actions, or changes in government regulations that affect the delivery of services.

In no event shall Filmopixel be responsible for any indirect, special, incidental, or consequential damages, including but not limited to loss of revenue, profits, or business opportunities, even if we have been advised of the possibility of such damages. Our liability for direct damages will be limited to the total amount paid by the client for the specific project at issue, and we will not be held responsible for any claims exceeding this amount.

Filmopixel is also not responsible for any damages caused by third-party services, contractors, or vendors engaged during the course of production, unless such damages arise from the negligence or intentional misconduct of Filmopixel’s staff. We shall not be held liable for any loss, damage, or delay caused by events beyond our control, including but not limited to strikes, fire, flood, power failures, acts of God, or other circumstances that may disrupt the production or delivery of services.

In case of any breach of contract or dispute, Filmopixel shall take reasonable efforts to mitigate the damages. However, our responsibility will be limited to those expressly outlined in the contract agreement with the client, and any claims outside of these agreed-upon terms are not valid.

7. Privacy Policy

At Filmopixel, we are committed to protecting your privacy. This privacy policy outlines how we collect, use, and safeguard your personal information when you interact with us and our services. By using our services, you consent to the practices described in this policy.

7.1 Information We Collect

We collect personal information in the course of providing our services to you. The information we may collect includes:

  • Personal Identification Information: Name, email address, phone number, postal address.
  • Payment Information: Billing information, credit card details, and other transaction-related information when processing payments.
  • Project Details: Information related to the project you hire us for, including specifications, timelines, and other related data.
  • Technical Information: Data automatically collected about your usage of our website, such as IP address, browser type, device information, and other details to improve our services.

7.2 How We Use Your Information

The information we collect is used for the following purposes:

  • To Provide Our Services: To fulfill our contract with you, provide project updates, and deliver completed work.
  • Communication: To respond to inquiries, confirm appointments, or send updates regarding your project.
  • Payment Processing: To process payments and manage your account.
  • Improvement of Services: To analyze trends and improve our website, services, and customer experience.
  • Marketing: To send promotional content or offers, with your prior consent. You can opt out of these communications at any time.

7.3 Sharing Your Information

We respect your privacy and do not sell, trade, or rent your personal information to third parties. However, we may share your information under the following circumstances:

  • With Service Providers: We may share information with third-party vendors who assist in providing our services, such as payment processors, email providers, or hosting services. These vendors are bound by confidentiality agreements.

  • With Your Consent: If you give us explicit consent to share your information with others, we may do so in accordance with your preferences.

Therefore, we cannot guarantee absolute security of your information.

7.5 Retention of Data

8. Governing Law

These Terms and Conditions shall be governed by, and construed in accordance with, the laws of the State of West Bengal, India, without regard to its conflict of law principles. By using our services, you agree that any dispute, controversy, or claim arising out of or relating to these Terms, including but not limited to issues of their interpretation, breach, or enforcement, shall be subject to the exclusive jurisdiction of the competent courts located in Nadia, West Bengal.

You acknowledge and agree that in the event of a dispute, prior to resorting to legal action, both parties will make a good-faith effort to resolve the dispute amicably through negotiation or alternative dispute resolution methods, such as mediation or arbitration, if both parties consent to it. If such resolution attempts fail, either party may initiate legal proceedings in the appropriate court.

The venue for any legal proceedings shall exclusively be the courts located in Nadia, West Bengal, and you expressly consent to the personal jurisdiction of such courts for the purpose of resolving any disputes related to these Terms and Conditions. In no event shall you file or participate in any class action or representative action in relation to these Terms.

In the event that any portion of this section is held to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the remaining provisions of these Terms, which shall remain in full force and effect.
